We are looking for an exceptional paralegal to join our Corporate Legal team as Corporate Paralegal, Governance. You will be a key part of the Paralegal team responsible for all aspects of Coinbase’s global corporate governance functions while partnering with the rest of the Corporate Legal team.

What you’ll be doing (ie. job duties):

  • Support corporate governance efforts for 50+ entities globally, including subsidiary board meeting preparation, annual filings, entity management changes, and corporate minute book updates.

  • Draft and revise corporate governance documents, including articles, bylaws/operating agreements, written actions and other documents required in connection with the formation, maintenance and dissolution of business entities.

  • Lead entity projects, including formation, integration and dissolution efforts.

  • Assist in coordination of internal director and officer signatures on various corporate documents.

  • Partner with Legal, Regulatory, Treasury, Finance and Tax teams on governance matters and serve as a resource on corporate and subsidiary matters.

  • Effectively liaise with outside counsel, when appropriate, to manage and support project coordination.

  • Maintain the entity management database (CSC Entities) and board portal (Diligent boards).

  • Perform other paralegal functions as assigned on various projects that may arise.

What we look for in you (ie. job requirements):

  • Bachelor’s Degree with 5+ years of relevant experience as a corporate paralegal, either at a leading national firm, or comparable in-house practice, with exposure to high growth technology companies.

  • A self-starter with enthusiasm, who can work independently with minimal oversight on projects but who is also a team player..

  • Ability to execute under pressure and within tight timelines while juggling multiple projects.

  • Highest level of accuracy, superb attention to detail, and excellent proofreading skills.

  • Ability to process highly confidential data and maintain discretion.

  • Excellent organizational and communication skills.

  • Exceptional professional judgment.

  • Willingness to roll up sleeves (no job too big, no job too small).

Nice to haves:

Experience with entity management database, preferably CSC Entities, and corporate governance portals, preferably Diligent board portal.

  • Familiarity with Asana, Jira, and Slack or other related software systems.

  • Proficiency with Google Workspace.

  • Passion for the crypto industry.

Pay Transparency Notice: Depending on your work location, the target annual salary for this position can range as detailed below. Full time offers from Coinbase also includetarget bonus + target equity + benefits (including medical, dental, vision and 401(k)).

Pay Range:

$102,000—$120,000 USD
